Terms of Service

1. Agreement

These Terms form a legally binding agreement between you and Jingmao Wang, an individual developer ("PromptFlux", "we", "us", or "our"). By accessing or using PromptFlux, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service. If you use PromptFlux on behalf of an organization, you represent that you can bind that organization to these Terms.

2. The service

PromptFlux helps you express a task in natural language, identify missing context, ask clarification questions, and compile a clearer prompt for use with an AI tool. Features may change, be limited, or be unavailable from time to time. PromptFlux is currently offered as a public beta and may contain defects or experimental behavior.

3. Accounts and security

Some features require an account. You must provide accurate information, keep your password confidential, and promptly tell us if you suspect unauthorized access. You are responsible for activity under your account unless it resulted from our breach of these Terms or applicable law. One person may not create accounts for abuse, evasion of limits, or impersonation.

4. Your content

You retain your rights in prompts, answers, and other material you submit ("User Content"). You grant PromptFlux a limited, non-exclusive, worldwide license to host, reproduce, transmit, and process User Content only as needed to operate, secure, troubleshoot, and improve the service and to send a request to the model provider you select through the service. This license ends when the relevant content is deleted, except for backups, legal records, or aggregated information that cannot reasonably identify you.

You are responsible for having the rights and permissions needed to submit User Content and for checking that it does not violate law, privacy, confidentiality, or third-party rights.

5. Acceptable use

You may not use PromptFlux to:

• break the law, infringe rights, or violate another person's privacy or confidentiality;
• submit malicious code, malware, credentials, payment data, highly sensitive personal data, or content you are not authorized to share;
• harass, exploit, threaten, impersonate, defraud, or harm another person;
• bypass authentication, rate limits, access controls, or service restrictions;
• probe, scan, reverse engineer, copy, resell, or interfere with the service except where the law expressly permits it; or
• use generated output as a substitute for professional legal, medical, financial, safety, or other expert advice.

6. AI output

PromptFlux uses automated systems and third-party model providers. Output may be inaccurate, incomplete, biased, offensive, unavailable, or similar to content generated for another user. You are responsible for reviewing output, validating facts, checking rights and permissions, and deciding whether and how to use it. We do not guarantee that output is original, non-infringing, fit for a particular purpose, or suitable for a high-impact decision.

7. Third-party services

The service may send content to the AI provider selected in the application and may depend on hosting, database, network, and other third-party services. Third-party services are governed by their own terms and policies. We are not responsible for a third party's acts, omissions, availability, or data practices, except to the extent liability cannot be excluded by law.

8. Plans, pricing, and beta changes

The public landing page may display Free, Plus, or Pro pricing concepts. At present, the application does not contain a checkout or subscription-billing flow, so displaying a plan does not create a paid subscription or charge. If paid features are introduced, we will provide the applicable price, billing terms, cancellation process, and any additional terms before charging you.

We may change, suspend, or discontinue features, limits, providers, or pricing. Where required, we will provide notice or a refund for prepaid services that we discontinue.

9. Intellectual property

PromptFlux, including its software, visual design, branding, text, and service materials, is owned by PromptFlux or its licensors and is protected by applicable intellectual-property laws. These Terms give you a limited right to use the service while you comply with them; they do not transfer ownership or grant a license to our trademarks except as necessary to identify the service.

10. Suspension and termination

You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, abuse the service, or if we discontinue the service. We will try to provide notice where reasonable and legally required. Provisions that should survive termination, including ownership, User Content permissions, disclaimers, limitations of liability, indemnity, and dispute terms, will survive.

11. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTFLUX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. YOU USE THE SERVICE AND AI OUTPUT AT YOUR OWN RISK.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTFLUX AND ITS OWNERS, STAFF, CONTRACTORS, AND PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR 100 US DOLLARS. Some jurisdictions do not allow these limitations, so parts of this section may not apply to you.

13. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PromptFlux and its personnel from claims, losses, liabilities, costs, and expenses arising from your User Content, your misuse of the service, your violation of these Terms, or your violation of another person's rights. We may take over the defense of a claim, and you agree to cooperate.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-law rules. Courts located in New Jersey will have exclusive jurisdiction unless applicable consumer law gives you another right. Confirm that this dispute language complies with the laws applicable to your users.

15. Changes and general terms

We may update these Terms by posting a new version and changing the date above. Material changes will receive additional notice where required. If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign this agreement without our consent; we may assign it as part of a merger, reorganization, or sale of assets. These Terms and the Privacy Policy are the entire agreement about PromptFlux, except for written additional terms we provide.
